These Terms of Service (“Terms”) govern your use of the websites and services provided by Alces (“Alces,” “we,” “us”), including alces.app, app.alces.app, and our done-for-you marketing services (together, the “Services”). By engaging us or using the Services, you agree to these Terms.
Alces provides digital marketing services for local service businesses, which may include Google Business Profile management, local SEO, paid advertising management, AI-assisted lead response across text, email, and voice, appointment booking, reputation management support, outbound prospecting, and reporting. The specific scope of your engagement is described when you sign up.
The Services are billed monthly on a month-to-month basis unless otherwise agreed in writing. There are no long-term contracts; you may cancel effective at the end of your current billing period by giving us notice. Fees already paid are non-refundable, and third-party costs (such as advertising spend paid to Google) are separate from our fees and are not refundable by us.
Marketing outcomes depend on factors outside any agency’s control, including competition, seasonality, pricing, search-engine and advertising-platform behavior, and your own operations. We work to improve your results, but we do not guarantee any specific ranking, lead volume, review count, revenue, or return on ad spend. Any examples or projections we share are illustrative, not promises.
The Services use artificial intelligence to draft and send communications on your behalf, including text messages, emails, and voice calls. AI output can be imperfect. You authorize us to communicate with your leads and customers on your behalf, and you are responsible for the instructions, business information, and contact lists you provide. We are not responsible for commitments an AI assistant makes outside the information you supplied; flag any errors to us and we will correct the configuration.
The Services depend on third-party platforms (such as Google, Twilio, Resend, Anthropic, Vapi, ElevenLabs, and Cal.com). We are not responsible for outages, policy changes, account suspensions, or pricing changes on those platforms, though we will work with you in good faith to resolve issues that affect your campaigns.
You retain ownership of your business content, trademarks, and customer data. We retain ownership of our platform, software, processes, and templates. Campaign assets we create for you (ad copy, landing pages, posts) are licensed to you for use in your business while you remain a client, and ownership transfers to you upon payment in full for the period in which they were created.
Each party agrees to protect the other’s non-public information. Our collection and use of personal information is described in our Privacy Policy. As between you and Alces, you own your customer and lead data, and we process it to provide the Services.
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenue. Our total liability arising out of the Services will not exceed the amounts you paid us in the three (3) months preceding the claim.
You agree to indemnify us against claims arising from contact lists or instructions you provide, your violation of applicable law (including communications and consumer-protection laws), or your breach of these Terms.
Either party may terminate the engagement at the end of the current billing period. We may suspend or terminate immediately if the Services are used unlawfully or in a way that creates risk for us or other clients. Upon termination, we will reasonably cooperate to hand over accounts and data that belong to you.
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date; continued use of the Services after changes take effect constitutes acceptance.
